  1. WHEREAS
  2. These Terms and Conditions for Crypto Purchase with Fiat (hereinafter known as the “Crypto Purchase Terms”) constitute a legally binding agreement between you and WEEX governing your access to and use of the crypto purchase services made available through the WEEX Platform (the “Crypto Purchase Services”).
  3. Throughout these Crypto Purchase Terms, references to “WEEX”, “we”, “us”, and “our” refer to the specific WEEX entity (or entities) that provides the Crypto Purchase Services to you as the contracting party (the “Service Provider”), as identified on the Platform, in your account onboarding flow, in your account documentation, and/or in any applicable Regional Terms. Where the context requires, “WEEX” may also include WEEX’s affiliates acting solely as service providers (for example, for technology, risk management, liquidity arrangements, pricing, fraud prevention, customer support, compliance operations, operational processing, and/or other support purposes). For the avoidance of doubt, a WEEX affiliate does not become a contracting party solely by providing services in support of WEEX, unless expressly stated otherwise in these Crypto Purchase Terms, the Terms of Use, or applicable Regional Terms.
  4. By accessing the WEEX Platform and/or using the Crypto Purchase Services (including by placing an Order, initiating a payment, or otherwise attempting to perform a Crypto Purchase Transaction), you acknowledge and agree that you have read, understood, and accepted these Crypto Purchase Terms, together with all other applicable terms, statements, and policies issued by WEEX, including without limitation: (i) the WEEX Terms of Use; (ii) the WEEX Risk Warning Statement; (iii) any product- or payment-method-specific disclosures, notices, or instructions made available on the Platform (including any disclosures relating to card payments, bank transfers, processing times, refunds/returns, chargebacks, reversals, or compliance checks); and (iv) any other applicable policies referenced on the Platform (including the WEEX Privacy Policy). If you do not fully understand or accept these Crypto Purchase Terms, you must not access or use the Crypto Purchase Services.
  5. These Crypto Purchase Terms form an integral part of the WEEX Terms of Use and shall be read together with the Terms of Use and any other existing terms, statements, and policies issued by WEEX. In the event of any conflict, discrepancy, or inconsistency between these Crypto Purchase Terms and the Terms of Use (or any other general terms), these Crypto Purchase Terms shall prevail and take precedence with respect to the Crypto Purchase Services, to the extent of such conflict, discrepancy, or inconsistency. For clarity, the Terms of Use continue to apply to your broader use of the Platform and any other WEEX services not specifically governed by these Crypto Purchase Terms.
  6. This version of the Crypto Purchase Terms is effective as of the “Last updated” date stated on the Platform (or such other effective date specified by WEEX) and supersedes any prior version(s). WEEX may amend these Crypto Purchase Terms from time to time to reflect changes in products, payment rails, risk controls, third-party provider arrangements, operational processes, market practice, technology, or regulatory requirements. Any amendment will be notified to you by publication on the website or Platform and/or through the Agreed Communication Means, and will become effective as of the date indicated in the notice (or, if no date is indicated, upon publication). Your continued access to or use of the Crypto Purchase Services after an amendment becomes effective constitutes your acceptance of the amended Crypto Purchase Terms to the extent permitted by applicable law. You acknowledge and agree that it is your responsibility to review these Crypto Purchase Terms periodically to remain informed of any changes, and that you should stop using the Crypto Purchase Services if you do not agree to any amendment.
  7. THE AGREEMENT
  8. Definitions and Interpretation
    1. In these Crypto Purchase Terms, unless the context otherwise requires, the following terms shall have the meanings set out below. Headings are for convenience only and shall not affect interpretation. References to a “Clause” are to clauses of these Crypto Purchase Terms.
    2. All capitalised terms used but not defined in these Crypto Purchase Terms shall have the meaning ascribed to them in the WEEX Terms of Use, unless the context requires otherwise:
      1. Agreed Communication Means” means the communication channels decided by WEEX and made available to you from time to time, which may include the Platform, email, telephone, online chat, in-app notifications, and other electronic means. WEEX may change or discontinue any Agreed Communication Means at any time.
      2. API” means any application programming interface made available by WEEX (directly or via approved third parties) to access the Crypto Purchase Services and/or related account and transaction functionality.
      3. Applicable Law” means all laws, regulations, rules, directives, sanctions, court orders, regulatory guidance, self-regulatory rules, and requirements of any Relevant Authorities that apply to you, WEEX, the Platform, any Banking Partner, any Third-Party Payment Provider, or the Crypto Purchase Services.
      4. Bank Charges” means any fees, charges, costs, deductions, lifting fees, intermediary charges, or other amounts imposed by banks, correspondent banks, payment intermediaries, or Banking Partners in connection with a Bank Transfer Purchase, including any outbound, inbound, recall, or return fees.
      5. Bank Transfer” means a transfer of Fiat Currency from a bank account through a bank payment rail (including SEPA where available) to bank account details provided via the Platform for the purpose of funding a Crypto Purchase Transaction.
      6. Bank Transfer Purchase” means a Crypto Purchase Transaction funded by a Bank Transfer made by you to the bank account details provided by WEEX or its Banking Partner for the purpose of purchasing Digital Assets, including (where available) SEPA transfers.
      7. Banking Partner” means any bank, EMI, payment institution, payment service provider, or third-party service provider engaged by WEEX to receive, process, confirm, reconcile, hold, and/or facilitate Bank Transfers (including by providing VIBANs or other identifiers) for Bank Transfer Purchases.
      8. Card Purchase” means a Crypto Purchase Transaction funded via a payment card (including debit, credit, or other card products supported by WEEX from time to time) through one or more Third-Party Payment Providers.
      9. Confirmation” means written confirmation (including email or other electronic means from which it is possible to produce a hard copy) of the specific terms of a Crypto Purchase Transaction entered into by you pursuant to the Crypto Purchase Services, including any receipt, trade confirmation, statement, or record generated by the Platform.
      10. Crypto Purchase Services” means all services relating to purchasing Digital Assets using Fiat Currency (and any related workflows), including (without limitation): (i) the ability to request and receive a price/quote (where applicable); (ii) the ability to submit Orders; (iii) the processing of Card Purchases and/or Bank Transfer Purchases (where available); (iv) compliance, fraud prevention, and risk checks; (v) crediting of Digital Assets to your WEEX Account; and (vi) any related support features, in each case whether provided through the Platform, API, or otherwise.
      11. Crypto Purchase Transaction” or “Transaction” means any transaction that is entered into by you pursuant to the placement of an Order under the Crypto Purchase Services, including the purchase of Digital Assets using Fiat Currency and the related crediting of Digital Assets to your WEEX Account, and any related fees, adjustments, returns, reversals, or rectification actions contemplated by these Crypto Purchase Terms.
      12. Digital Assets” means digital assets, virtual assets, cryptocurrencies, stablecoins, and other digital representations of value that WEEX may support from time to time on the Platform (including USDT where applicable), as further described in the Terms of Use and/or relevant product rules.
      13. Direct Crypto Credit Model” means the Bank Transfer Purchase flow under which: (i) you send Fiat Currency via bank transfer to bank account details provided on the Platform; (ii) WEEX receives Fiat Receipt Confirmation from its Banking Partner that the funds have been credited and are available; and (iii) WEEX credits you with Digital Assets directly (for example USDT or another supported Digital Asset), rather than crediting you with a fiat wallet balance first (unless expressly stated otherwise on the Platform).
      14. Erroneous Bank Transfer” means any Bank Transfer that is, without limitation: (i) made from a Non-Verified Bank Account; (ii) missing or incorrect in the Reference Code / Unique Identifier; (iii) made in the wrong currency; (iv) exceeds applicable limits; (v) reasonably suspected to be fraudulent, sanctioned, or otherwise prohibited; (vi) structurally inconsistent with the Order (for example, payer name mismatch); (vii) rejected by the Banking Partner or intermediary; or (viii) otherwise cannot be reliably matched to a valid Order or lawfully processed.
      15. Exchange Rate / Quote” means the conversion rate (including any spread, pricing adjustments, or execution methodology) used to determine the Digital Assets amount delivered to you for a Crypto Purchase Transaction, as determined under these Crypto Purchase Terms and/or as displayed in the Platform. Where applicable, the Exchange Rate may be indicative at the time of Order creation and finalised at the time WEEX processes the Order following Fiat Receipt Confirmation and completion of required checks, unless expressly stated as “fixed” in the Platform for a given corridor.
      16. Expiry” means, in the context of an Order, the time by which an instruction must be executed, completed, funded, or otherwise satisfied, including any payment window, funding window, or processing deadline specified by WEEX on the Platform for the relevant Order or corridor.
      17. Fiat Currency” means any government-issued currency made available by WEEX from time to time for the Crypto Purchase Services (e.g., EUR), as determined by WEEX and displayed on the Platform.
      18. Fiat Receipt Confirmation” means the confirmation (including by API or other electronic confirmation) received by WEEX from its Banking Partner that the relevant Fiat Currency has been credited, reconciled, and is available to WEEX and/or its Banking Partner for the relevant Order (as determined by WEEX), subject to any applicable compliance, fraud, or risk checks.
      19. Group” means WEEX’s subsidiaries and affiliates.
      20. Improper Intent” shall have the meaning as defined in the Prohibited Conduct and Enforcement Measures clause of these Crypto Purchase Terms and includes (without limitation) attempting to manipulate, exploit, or take unfair advantage of WEEX’s systems, pricing, processes, or controls.
      21. Manifest Error” means any error, omission, misquote, inaccuracy, or lack of clarity (whether an error of WEEX or of any third party) which is manifest or palpable, including a misquote taking into account the current market and currently advertised quotes, or any error or lack of clarity of any information, source, feed, reference price, or system output. The fact that you may have entered into, or refrained from entering into, a corresponding financial commitment, contract, or trade in reliance on a Transaction (or that you have suffered or may suffer any loss whether direct, indirect, consequential or otherwise) is deemed irrelevant as a factor and shall not be taken into account in determining whether a situation amounts to a Manifest Error.
      22. Non-Verified Bank Account” means any bank account that is not a Verified Bank Account, including (without limitation) an account not held in your name, an account where the payer name does not match your verified identity details, a third-party account, or an account otherwise not accepted by WEEX or its Banking Partner for the relevant corridor.
      23. Order” means an instruction submitted by you to execute a Crypto Purchase Transaction, including: (i) a Card Purchase order initiated through the Platform; and/or (ii) a Bank Transfer Purchase order created on the Platform that requires you to complete a bank transfer using the bank details and Reference Code provided. WEEX may prescribe and amend Order parameters from time to time (including minimum/maximum amounts, supported currencies, supported Digital Assets, payment methods, and time windows).
      24. OTC / OTC Services” (if referenced anywhere in legacy materials) shall not apply to these Crypto Purchase Terms unless expressly stated; references to “OTC” in legacy drafting are deemed replaced by “Crypto Purchase” as the context requires.
      25. Platform” means the WEEX website(s), mobile application(s), desktop application(s), API(s), and any other online interface, portal, or system designated by WEEX for access to the Crypto Purchase Services.
      26. Rectification Rights” means, where one or more Supervening Events takes place or has taken place, the rights of WEEX to exercise rectification rights (so far as allowed by Applicable Law) in good faith: (i) to cancel or reverse such Crypto Purchase Transactions (including reversal of any Digital Assets credit or transfer made in your WEEX Account), and such transactions shall be deemed as if they have never been entered into; and/or (ii) amend and/or vary the price or Exchange Rate of the relevant Crypto Purchase Transaction to be consistent with prevailing market prices at the material time or at the price as if the Manifest Error or Supervening Event had not occurred; and/or (iii) take other corrective measures necessary to address the Supervening Event, to the extent consistent with the intended operation of the Crypto Purchase Services and Applicable Law.
      27. Reference Code / Unique Identifier” means any reference number, payment reference, VIBAN identifier, virtual IBAN reference, end-to-end reference, or other code WEEX or its Banking Partner provides and requires you to include in your bank transfer so that the transfer can be matched to your Order. This may include corridor-specific formatting requirements or mandatory fields.
      28. Refund / Return” means any return of Fiat Currency (in whole or in part) that WEEX or its Banking Partner processes back to a bank account (or other permitted route) due to, without limitation, an Erroneous Bank Transfer, failed or expired Order, compliance decision, Banking Partner rejection, duplicate transfer, overpayment handling, or other scenario contemplated by these Crypto Purchase Terms or required by Applicable Law.
      29. Related Personnel” refers to WEEX’s directors, shareholders, members, employees, officers, attorneys, agents, representatives, suppliers and/or contractors.
      30. Relevant Authorities” means any competent governmental, regulatory, supervisory, law enforcement, judicial, or self-regulatory authority, agency, ministry, department, court, or tribunal in any relevant jurisdiction, including any authority with jurisdiction over WEEX, you, the Platform, any Banking Partner, any Third-Party Payment Provider, or the Crypto Purchase Services.
      31. Service Provider” means the WEEX entity that provides the Crypto Purchase Services to you as contracting party, as identified on the Platform and/or applicable Regional Terms.
      32. Supervening Events” means any event or circumstance that materially affects the correctness, integrity, legality, or intended operation of a Crypto Purchase Transaction, including (without limitation): (i) where WEEX determines that a bid price or offer price or both used for a Crypto Purchase Transaction is substantially different or inconsistent from the prevailing market value at the material time; (ii) where WEEX determines that a Crypto Purchase Transaction is erroneous in nature (including where a price is inadvertently presented incorrectly); (iii) where WEEX has reason to believe or suspect the Crypto Purchase Transaction was entered into with dishonest or Improper Intent, including exploiting a material discrepancy between displayed pricing and prevailing market pricing or taking unfair advantage of WEEX’s systems; (iv) where a Manifest Error has occurred; (v) where bank-side reversals, chargebacks, recalls, or rejected transfers affect whether funds are finally received; and/or (vi) any other circumstance that, in WEEX’s reasonable view, requires corrective action to maintain platform integrity, comply with Applicable Law, or manage material operational or fraud risk.
      33. Third-Party Payment Provider” means any third-party payment service provider, acquirer, processor, gateway, card network participant, or other payment intermediary engaged by WEEX to facilitate Card Purchases and related payment processing, fraud screening, and settlement.
      34. Trading Limits” means any limits imposed by WEEX and/or its Banking Partners or Third-Party Payment Providers that apply generally or specifically to you, to all or certain Digital Assets, Fiat Currencies, corridors, or Orders, including per-transaction, daily, weekly, monthly, or other limits, and any dynamic adjustments based on risk controls and compliance requirements.
      35. Verified Bank Account” means a bank account that (a) is held in your name, and (b) matches the identity details you provided to WEEX for KYC/verification (as determined by WEEX in its reasonable discretion), and (c) is accepted by WEEX and/or its Banking Partner for the relevant corridor and Order.
      36. WEEX Account” means your registered account on the Platform, including any sub-accounts enabled for relevant services, and any associated balances and transaction history.
    3. In the event of any conflict or inconsistency between these Crypto Purchase Terms and the Terms of Use, these Crypto Purchase Terms shall prevail with respect to the Crypto Purchase Services, unless expressly stated otherwise in these Crypto Purchase Terms or in any Regional Terms applicable to you.
    4. Words in the singular include the plural and words in the plural include the singular; words denoting any gender include all genders.
    5. Unless expressly stated otherwise: (i) references to time are references to UTC; (ii) references to “business days” mean business days in the jurisdiction(s) relevant to the applicable payment corridor and/or Banking Partner processing (as determined by WEEX); and (iii) cut-off times, local holidays, and bank processing windows may apply.
    6. For the avoidance of doubt, where a distinct and specific set of terms and conditions applies to you based on your jurisdiction or the WEEX entity providing the Crypto Purchase Services (including Regional Terms made available on the Platform), such Regional Terms shall govern to the extent of inconsistency with these Crypto Purchase Terms.
  9. Risk Disclosure
    1. WEEX does not provide investment, legal, tax, or accounting advice. Any information made available on the Platform (including pricing, indicative quotes, educational materials, or support communications) is general in nature and is not tailored to your individual circumstances.
    2. YOU ARE SOLELY RESPONSIBLE for deciding whether purchasing Digital Assets is appropriate for you, having regard to your knowledge, experience, objectives, risk tolerance, and financial circumstances. If you are uncertain, you should seek independent professional advice from an appropriately licensed advisor in your jurisdiction before using the Crypto Purchase Services. WEEX does not guarantee any profit, return, price stability, or that your purchase will increase in value. Past performance of Digital Assets is not indicative of future performance. Digital Assets are a highly volatile asset class. Their prices may be affected by, among other things: market sentiment, liquidity conditions, macroeconomic events, stablecoin de-pegging risk, protocol or network incidents, exchange disruptions, hacks, regulatory actions, or material news events. You may suffer significant losses due to sharp price movements.
    3. BY USING THE CRYPTO PURCHASE SERVICES ON WEEX, YOU MAY LOSE SOME OR ALL OF THE FIAT AMOUNT YOU TRANSFER OR PAY (INCLUDING FEES), AND YOU MAY LOSE SOME OR ALL OF THE DIGITAL ASSETS CREDITED TO YOU. DIGITAL ASSETS PRICES MAY MOVE RAPIDLY AND UNPREDICTABLY, INCLUDING WITHIN MINUTES. YOU SHOULD NOT PURCHASE DIGITAL ASSETS UNLESS YOU FULLY UNDERSTAND THE RISKS AND CAN AFFORD TO LOSE THE AMOUNTS INVOLVED.
    4. Before using the Crypto Purchase Services, you must carefully assess your suitability and financial resources. By using the Platform and initiating a Crypto Purchase Transaction, you confirm that you:
      1. Understand the mechanics of purchasing Digital Assets using Fiat Currency through the Platform (including the relevant payment method flow you choose).
      2. Have sufficient knowledge and experience to make your own decisions regarding Digital Assets and to evaluate and bear the risks of price volatility, execution differences, fees, and transfer/settlement risks.
      3. Can bear the risk of substantial or total loss of the amounts you use to purchase Digital Assets and the risk that the Digital Assets credited may decrease significantly in value after crediting.
      4. Will not use funds you cannot afford to lose, and you will not rely on Digital Assets as a substitute for savings, emergency funds, or essential living expenses.
      5. Will comply with Applicable Law, including any restrictions, reporting requirements, or tax obligations applicable to you.
    5. Any quote displayed when creating an Order may be INDICATIVE unless expressly stated as fixed. The final amount of Digital Assets credited may differ due to market movements, spreads, corridor-specific execution timing, or pricing adjustments described in the Platform. In exceptional circumstances (including market disruption, latency, incorrect feeds, or Manifest Error), WEEX may correct, cancel, reverse, or re-price a transaction as described in these Crypto Purchase Terms. The rate you receive may include spreads and may differ from prices displayed on other venues.
    6. If you use a CARD PAYMENT METHOD:
      1. Card processing typically involves Third-Party Payment Providers and card networks. Their systems, rules, risk checks, and settlement timing may affect whether and when a Card Purchase is successful.
      2. Card transactions may be reversed, declined, disputed, or chargebacked under card scheme rules. This can lead to restrictions, reversals of credited Digital Assets, or other actions permitted by the Terms of Use and these Crypto Purchase Terms.
      3. You may incur provider fees, FX fees, cash-advance fees, or other bank or issuer charges that are outside WEEX’s control.
    7. If you use a BANK TRANSFER (INCLUDING SEPA) METHOD under the Direct Crypto Credit Model, you acknowledge and accept the following risks:
      1. Transfers may be delayed due to: cut-off times, weekends/holidays, correspondent banking, intermediary delays, sanctions/AML screening, or bank operational issues;
      2. WEEX credits Digital Assets only after receiving Fiat Receipt Confirmation from its Banking Partner and completing any required checks. The time for confirmation may vary and is not guaranteed;
      3. If you provide an incorrect or missing reference, the transfer may not be matched to your Order, may be held for investigation, rejected, or returned (possibly with deductions for Bank Charges);
      4. Transfers from third-party accounts, accounts not held in your name, or accounts where payer details do not match your verified identity may be treated as Erroneous Bank Transfers and may result in delays, refusals, or returns;
      5. If you send the wrong currency or fees are deducted such that the net amount received differs from the intended amount, the amount of Digital Assets credited may be reduced, the Order may be placed on hold, or funds may be returned;
      6. Bank transfers may, in certain circumstances, be recalled, reversed, clawed back, or disputed. If a transfer is later reversed or deemed not finally received, WEEX may reverse the corresponding Digital Assets credit, deduct balances, create a negative balance, restrict your account, and/or pursue recovery as permitted by the Terms of Use and Applicable Law; and
      7. Fiat withdrawals may not be available as a product feature. Returns of funds (where applicable) may be limited to returning Fiat to the originating bank account (or another account approved by WEEX), subject to Banking Partner requirements and processing times.
    8. Even after you receive Digital Assets, you may not be able to sell, convert, or transfer those Digital Assets immediately or at a desired price due to market conditions, liquidity constraints, Trading Limits, platform risk controls, or technical outages.
    9. The Crypto Purchase Services may involve third parties such as Banking Partners, card processors, verification providers, custody providers, and other service providers. Their actions, outages, or constraints may affect your transaction. Settlement and crediting depend on systems and reconciliation processes. Failures or delays may occur. To the extent permitted by Applicable Law, WEEX does not guarantee the performance, uptime, or processing time of third-party systems.
    10. You may suffer loss due to operational failures such as: scheduled or unscheduled downtime, matching or pricing system issues, database or reconciliation failures, wallet or transfer delays, API failures, cyberattacks, malware, compromised devices, SIM swap, phishing, or other security incidents. You are responsible for maintaining the security of your devices and credentials. Transactions may be delayed, rejected, or reversed due to AML/CTF controls, sanctions screening, fraud prevention checks, Banking Partner reviews, or legal requirements. WEEX may restrict, modify, or terminate access to some or all Crypto Purchase Services in certain jurisdictions, for certain users, or for certain corridors, in response to changes in Applicable Law, regulatory guidance, or internal risk controls.
    11. You may suffer loss due to new pricing, changes in exchange rates, refreshed limits, changes of prices of the Digital Assets or Fiat Currency or any other change of market conditions between the moment you input your Order, its execution, and/or the Confirmation.
    12. By using the Platform, you acknowledge and confirm that it is YOUR RESPONSIBILITY:
      1. To familiarise yourself with Digital Assets and the specific product flow you use (Card Purchase vs Bank Transfer Purchase, including corridor-specific instructions);
      2. To ensure you provide accurate information, including payer details, bank account ownership details, and any required Reference Code;
      3. To monitor Order status and transaction confirmations in the Platform, and to respond promptly to any WEEX requests for information or documentation;
      4. Not to send funds from accounts not held in your name (unless expressly approved) or to attempt to circumvent Trading Limits or compliance controls;
      5. Not to deposit or transfer more than you can afford to lose; and
      6. To maintain appropriate cybersecurity hygiene (device security, anti-phishing measures, account security controls, and secure communications).
  10. Orders — Crypto Purchase with Fiat
    1. You may use the Platform to create and submit Orders, or (where enabled by WEEX) submit Orders through the Agreed Communication Means. An “Order” is your instruction or request to WEEX to carry out a Crypto Purchase Transaction (including, where available, a Card Purchase or Bank Transfer Purchase) in accordance with the information and parameters you provide and the options displayed on the Platform.
    2. Orders may be submitted:
      1. through the Platform (including any web or mobile interface, and any other interface designated by WEEX); and/or
      2. through Agreed Communication Means, where WEEX has expressly enabled this for the relevant service module or for you (for example via in-app chat, online chat, email, or other channels designated by WEEX).
    3. To place an Order, you must provide all details and information requested by WEEX, which may include (without limitation):
      1. the Fiat Currency amount and/or the Digital Asset you wish to purchase;
      2. the payment method (Card Purchase or Bank Transfer Purchase);
      3. any required payment or payer information (including for bank transfer: payer name, sending bank account details, and Reference Code);
      4. any applicable limits, confirmations, declarations, or acknowledgements required by WEEX; and
      5. any additional information required to satisfy compliance, fraud prevention, or risk controls.
    4. WEEX may impose conditions, eligibility requirements, verification requirements, and limits on Orders (including per-transaction, daily, weekly, monthly, corridor-specific, or user-specific limits). Such limits may be changed from time to time and may depend on, among other factors, your verification level, risk profile, jurisdiction, the relevant payment corridor, and Banking Partner or third-party provider requirements.
    5. An Order submitted by you is deemed an offer or proposal to WEEX to enter into a Crypto Purchase Transaction with you, subject to these Crypto Purchase Terms, the Terms of Use, and any other applicable policies or rules.
    6. WEEX may, in its sole discretion (acting in good faith and consistent with Applicable Law and platform integrity requirements), accept, partially accept, reject, or decline any Order, including where:
      1. the Order does not meet eligibility, verification, corridor, or limit requirements;
      2. payment instructions are incomplete, inconsistent, or appear unreliable;
      3. the payment method provider or Banking Partner declines, delays, rejects, or flags the payment;
      4. WEEX identifies or reasonably suspects fraud, money laundering, sanctions exposure, misuse, or other prohibited conduct;
      5. there is insufficient liquidity, price stability, or operational capability to execute the Order;
      6. execution would expose WEEX, Banking Partners, or users to unacceptable risk; and/or
      7. WEEX is required or advised to do so by Relevant Authorities or Applicable Law.
    7. WEEX is not obliged to accept or execute any Order, whether in whole or in part, and WEEX does not guarantee availability, liquidity, or execution. Liquidity and execution may be influenced by factors outside of WEEX’s control, including third-party providers, Banking Partner processing, market conditions, and corridor limitations. If the Platform (or Agreed Communication Means) displays or provides a message such as “Order placed”, “Submitted”, “Created”, “Awaiting payment”, “Pending”, or similar, this is only an acknowledgement that WEEX has received your Order request (or that your Order has been recorded in the Platform). Such acknowledgement does not constitute acceptance by WEEX and does not create any obligation on WEEX to execute, complete, or honour the Order unless and until the Order is accepted and executed in accordance with these Crypto Purchase Terms.
    8. You may request to amend or cancel an existing Order by using the Platform or contacting WEEX through the Agreed Communication Means, provided that the Order has not been executed by WEEX. WEEX may accept or reject any request to amend or cancel an Order in its sole discretion (acting in good faith and consistent with Applicable Law and platform integrity requirements). If accepted, an amended Order is treated as a new Order and may be subject to:
      1. new pricing or exchange rates;
      2. refreshed limits;
      3. renewed risk/compliance checks; and
      4. updated payment instructions.
    9. An Order cannot be amended or cancelled after it has been executed. In addition, where a payment has already been initiated (for example, a bank transfer has already been sent or a card payment authorisation has been obtained), any amendment/cancellation may not be possible or may require additional steps as described in these Crypto Purchase Terms (including any applicable return of funds process for Bank Transfer Purchases).
    10. WEEX may apply an Expiry or payment window for an Order (for example, the time by which you must complete the payment step or the time by which funds must be received). The Expiry/payment window may be displayed in the Platform or otherwise communicated. If payment is received after Expiry (including Fiat receipt for a Bank Transfer Purchase), WEEX may (at its discretion):
      1. process the Order at the then-current applicable Exchange Rate; and/or
      2. treat the payment as an Erroneous Bank Transfer (where applicable) and apply the return/hold process; and/or
      3. require additional verification and determine the appropriate outcome.
    11. WEEX is not responsible if an Order is not received or is delayed due to:
      1. network issues, system outages, platform latency, or technical faults;
      2. downtime or interruptions affecting Agreed Communication Means;
      3. errors or omissions in the information you provide; or
      4. third-party service provider interruptions.
    12. For CARD PURCHASES, execution generally occurs when:
      1. WEEX (and/or the relevant third-party payment provider) receives confirmation of successful payment (including any required authorisation/settlement confirmation under the applicable card flow); and
      2. WEEX credits the relevant Digital Assets to your WEEX Account (or otherwise completes the transaction as indicated on the Platform), subject to any fraud, compliance, and risk checks.
    13. For BANK TRANSFER PURCHASES, you acknowledge and agree that:
      1. you must initiate an external bank transfer using the bank details and Reference Code provided in the Platform;
      2. execution occurs only when WEEX has received Fiat Receipt Confirmation from its Banking Partner that the Fiat Currency has been credited and is available for the relevant Order, and WEEX has completed applicable compliance and risk checks; and
      3. Once executed, WEEX will credit you with the corresponding amount of Digital Assets in your WEEX Account, using the Exchange Rate determined under these Crypto Purchase Terms and/or displayed in the Platform for that corridor.
    14. WEEX may execute an Order in whole or in part, including where:
      1. liquidity constraints exist;
      2. partial payments are received;
      3. fees or deductions cause the net received amount to differ; or
      4. corridor or Banking Partner rules require partial treatment.
    15. Where partial execution occurs, WEEX will handle the remaining amount in accordance with the Platform instructions and these Crypto Purchase Terms (including the underpayment/overpayment/partial receipts provisions for Bank Transfer Purchases, where applicable).
    16. You acknowledge and agree that WEEX may engage third parties to facilitate or fulfil Orders, including (without limitation) banking partners, payment institutions, card payment processors, verification providers, custody providers, liquidity providers, and other service providers. You acknowledge that third-party processes and decisioning (including rejection, holds, or delays) may affect whether and when an Order is executed, and that WEEX cannot guarantee third-party performance or processing timelines.
    17. WEEX may provide order confirmations, status updates, receipts, or other records through the Platform and/or Agreed Communication Means. These records are provided for informational purposes and operational tracking. In the absence of Manifest Error, WEEX’s records regarding Orders, execution timing, received payments (including Fiat Receipt Confirmation), credited Digital Assets amounts, and applied Exchange Rates shall be final and conclusive to the extent permitted by Applicable Law.
    18. WEEX reserves the absolute right to determine the final Exchange Rate at the moment of Fiat Receipt Confirmation. You acknowledge that any price displayed prior to this moment is purely indicative and non-binding, and WEEX shall not be liable for any difference between the indicative quote and the final executed price resulting from market volatility or processing delays.
    19. In the event of any dispute regarding the timing of an Order, the amount of Fiat Currency received, or the Digital Assets credited, the internal logs and records of WEEX shall serve as the sole and definitive evidence of the facts. You hereby waive any right to challenge the accuracy of WEEX’s records based on external data, third-party communications, or personal transaction receipts.
  11. Nature of Crypto Purchase Transactions
    1. Unless expressly agreed otherwise in writing, you and WEEX enter into Crypto Purchase Transactions as principals. You agree and confirm that you enter into each Crypto Purchase Transaction in your own capacity as a principal and not on behalf of any other person (whether as agent, nominee, intermediary, trustee, or otherwise), unless WEEX has expressly approved such arrangement in writing.
    2. WEEX’s obligations under these Crypto Purchase Terms are owed SOLELY TO YOU (as the verified account holder), and WEEX does not assume any duties or obligations to any third party, even if WEEX is aware of or has been informed about the involvement of any third party (including, without limitation, any person who provides you funds, receives Digital Assets from you, or is otherwise connected to your transaction).
    3. You acknowledge and agree that WEEX DOES NOT PROVIDE, and nothing in the Crypto Purchase Services constitutes, any form of advice or recommendation, including (without limitation) investment advice, trading advice, financial advice, accounting advice, legal advice, tax advice, or advice regarding:
      1. the merits of purchasing or holding any Digital Asset;
      2. the suitability, profitability, or appropriateness of any Crypto Purchase Transaction;
      3. the timing, price, or execution of any Crypto Purchase Transaction; or
      4. your individual circumstances, objectives, or financial situation.
    4. You are recommended and deemed to have taken all necessary steps and diligence (including seeking independent professional advice where appropriate) to understand the nature of Digital Assets, the Crypto Purchase Services, and the risks of purchasing Digital Assets with Fiat Currency. Any decision made by you (including whether to place an Order, the amount purchased, and the selected payment method) is your independent decision and is made without reliance on any statement, communication, explanation, marketing material, or other information from WEEX or any third party.
    5. You acknowledge that you may be subject to legal, regulatory, reporting, and/or taxation requirements in your jurisdiction(s) in connection with:
      1. acquiring Digital Assets;
      2. holding or transferring Digital Assets;
      3. using payment instruments, bank accounts, or cross-border transfers; and/or
      4. any gains, losses, reporting thresholds, or declarations applicable to you.
    6. You agree that you have the sole responsibility to keep yourself informed of, and to comply with, Applicable Law relevant to your Crypto Purchase Transactions. WEEX does not provide support or assistance for your compliance, except to the extent required by Applicable Law (for example, performing KYC/verification, sanctions screening, transaction monitoring, and providing transaction records where required).
    7. You acknowledge that WEEX may impose, enforce, and update Trading Limits and other controls that may apply generally or specifically to you, to certain corridors, payment methods, Fiat Currencies, or Digital Assets, and/or to Orders and Crypto Purchase Transactions. Such controls may include, without limitation:
      1. per-transaction, daily, weekly, monthly, or cumulative limits;
      2. verification-level restrictions;
      3. corridor-specific rules (including mandatory reference fields or beneficiary formats);
      4. fraud-prevention controls;
      5. sanctions/AML/CTF controls;
      6. restrictions based on banking partner requirements or payment provider rules; and/or
      7. temporary restrictions during market volatility, system maintenance, or operational disruption.
    8. WEEX’s right to determine and apply these controls is at WEEX’s discretion (acting in good faith, consistent with Applicable Law, and for platform integrity). In connection with these controls, you agree to provide promptly any data or information requested by WEEX that WEEX reasonably considers relevant and necessary to:
      1. verify your identity and eligibility;
      2. assess risk, source of funds/source of wealth (where requested), and fraud indicators;
      3. validate payment ownership and payer name match; and/or
        (iv) comply with Banking Partner and payment provider requirements.
    9. If you contravene, attempt to contravene, or exceed any Trading Limits or other applicable controls, you acknowledge that WEEX may, in its sole discretion and as permitted by Applicable Law:
      1. reject, amend, cancel, or refuse an Order;
      2. place an Order on hold pending additional checks;
      3. delay crediting Digital Assets;
      4. treat a payment as an Erroneous Bank Transfer (where applicable) and return funds under the relevant return provisions; and/or
      5. apply account restrictions as described in these Crypto Purchase Terms and the Terms of Use.
    10. You acknowledge and agree that pricing and execution of Crypto Purchase Transactions may be affected by market conditions, liquidity, platform availability, Banking Partner processing timelines, payment provider decisioning, and other factors. In addition, you agree that the following events constitute Supervening Events:
      1. Where WEEX determines (acting reasonably and in good faith) that one or more bid/offer prices, quotes, conversion rates, or execution outcomes for one or more executed Crypto Purchase Transactions are substantially different from the prevailing market value at the relevant time of execution or processing;
      2. Where WEEX determines that any executed Crypto Purchase Transaction is erroneous in nature, including where:
        1. a bid price is inadvertently presented as an offer price (or vice versa);
        2. a conversion rate is displayed incorrectly;
        3. a system or provider error causes an incorrect amount to be calculated or credited; and/or
        4. an input or mapping error causes an incorrect Digital Asset, Fiat Currency, or corridor to be applied;
      3. Where WEEX has reason to believe or suspect that a Crypto Purchase Transaction was entered into with dishonest or Improper Intent, including attempting to exploit price or rate discrepancies, manipulate market conditions, exploit platform vulnerabilities, abuse payment rails, or take unfair advantage of WEEX’s systems or processes;
      4. Where a Manifest Error has occurred in any part of a Crypto Purchase Transaction or related record;
      5. Where a Banking Partner or payment provider issues a rejection, recall, reversal, clawback, or other adverse action affecting Fiat receipt finality or settlement integrity after a Digital Asset credit has been made, or where settlement finality is reasonably in doubt; and
      6. Where Applicable Law, Relevant Authorities, Banking Partner policies, sanctions screening, AML/CTF controls, or fraud controls require delaying, refusing, reversing, or otherwise correcting a transaction.
      7. In the event one or more Supervening Events occurs or has occurred, you absolutely and irrevocably authorise WEEX (to the extent permitted by Applicable Law and acting in good faith) to exercise Rectification Rights, including without limitation:
        1. Cancel, void, reverse, unwind, or otherwise treat the relevant Crypto Purchase Transaction(s) as if they had never been entered into, including reversing any credit of Digital Assets to your WEEX Account and/or reversing any internal records associated with the transaction; and
        2. Amend or vary the price, rate, or conversion applied to the Crypto Purchase Transaction(s) to be consistent with prevailing market prices or rates at the material time or to the price/rate that would have applied had the Manifest Error not occurred.
      8. Where you have been unjustly enriched or where a reversal, recall, or correction creates a shortfall, WEEX may demand immediate repayment and may set off against balances in your WEEX Account, and/or create a negative balance and require repayment, as permitted by the Terms of Use and Applicable LawPlace related transactions on hold, impose temporary restrictions, request additional documentation, and/or take other measures reasonably necessary to protect platform integrity and manage risk.
    11. WEEX shall inform you if it exercises Rectification Rights and takes corrective measures, through the Platform and/or Agreed Communication Means, unless restricted by Applicable Law, Banking Partner requirements, or law enforcement/regulatory requests. If a Manifest Error has occurred, you must not rely on it and you are not entitled to enforce any inaccurate, inconsistent, incomplete, or erroneous quote, rate, message, or record (including any on-screen quote or confirmation) that resulted from a Manifest Error
    12. In the absence of Manifest Error, WEEX’s records (including Fiat Receipt Confirmation logs, payment confirmations, transaction processing logs, and Digital Asset credit records) relating to Crypto Purchase Transactions are final and conclusive to the extent permitted by Applicable Law. Notwithstanding the foregoing, WEEX may take corrective measures to rectify false entries, processing errors, or misstatements where reasonably necessary.
    13. You acknowledge that third parties may charge fees or apply deductions, including:
      •  
        1. card issuer fees, payment provider fees, or chargeback-related fees;
        2. bank fees, intermediary fees, and return fees for bank transfers; and
        3. corridor-specific costs.
    14. Crypto Purchase Transactions may result in Digital Assets being credited directly to your WEEX Account on a per-transaction basis (including under the Bank Transfer Purchase “direct crypto credit” model). Unless expressly stated otherwise on the Platform, Fiat Currency is not credited to a user fiat wallet/balance. You acknowledge that Digital Assets credited to your account may be subject to reversal or deduction in accordance with these Crypto Purchase Terms (including where Fiat receipt is reversed, recalled, clawed back, or otherwise not final).
    15. Unless expressly agreed in writing by WEEX, netting between multiple Crypto Purchase Transactions is not permitted.
    16. WEEX is under no obligation to provide valuations for Crypto Purchase Transactions. Where WEEX provides any valuation, estimate, or indicative conversion information, you acknowledge and agree that:
      1. such valuations are provided solely for your information and convenience;
      2. unless expressly stated otherwise, such valuations are indicative and may be based on mid-market levels, index rates, internal models, or other reference data at a given time;
      3. valuations may take into account factors such as transaction size, corridor constraints, liquidity, and operational costs;
      4. assumptions used may change and can lead to different outcomes;
      5. valuations are not a guarantee of execution terms, final credited amounts, or unwind/liquidation values; and
      6. WEEX shall not be liable for errors, inaccuracies, or omissions in valuations, nor for any loss or damage arising from reliance on valuations, to the maximum extent permitted by Applicable Law.
  12. Termination; Suspension; Discontinuation of Crypto Purchase Services
    1. In addition to any other rights WEEX may have under these Crypto Purchase Terms, the Terms of Use, or Applicable Law, WEEX may, in its sole discretion (acting in good faith and consistent with Applicable Law and platform integrity requirements):
      1. remove, suspend, modify, or discontinue any product, feature, corridor, Fiat Currency, Digital Asset, payment method, or service that falls within the scope of the Crypto Purchase Services (including Card Purchases and Bank Transfer Purchases) from time to time; and/or
      2. terminate these Crypto Purchase Terms (in whole or in part), including by terminating your access to the Crypto Purchase Services.
    2. WEEX may provide notice of discontinuation or termination by publication through the WEEX application, the Platform, and/or the website, and/or through any Agreed Communication Means. Where notice is not reasonably practicable or is restricted (including for security, fraud prevention, sanctions/AML/CTF, Banking Partner requirements, or regulatory reasons), WEEX may take action with immediate effect and may notify you afterwards to the extent permitted.
    3. WEEX may, at its sole discretion, with or without notice (to the extent permitted by Applicable Law):
      1. cancel any open or pending Order at the date and time the relevant Crypto Purchase Service, corridor, Digital Asset, Fiat Currency, or payment method ceases to be available, or at which these Crypto Purchase Terms are terminated (in whole or in part);
      2. cancel, refuse to accept, refuse to execute, delay, place on hold, reverse, or otherwise terminate any Order or Crypto Purchase Transaction (regardless of any “submitted”, “confirmed”, “processing”, or similar status shown on the Platform), on reasonable grounds determined by WEEX, including without limitation where WEEX reasonably considers that:
        1. you do not meet eligibility or verification requirements, or you fail to provide requested information or documents within a reasonable timeframe;
        2. the Order or funding triggers sanctions screening, AML/CTF controls, fraud controls, unusual activity alerts, or internal risk thresholds;
        3. the payer details do not match your verified identity (including name mismatch), or the transfer is from a non-Verified Bank Account (where applicable);
        4. an Erroneous Bank Transfer has occurred or the payment cannot be reliably matched to a valid Order;
        5. required payment references (e.g., Reference Code/Unique Identifier) are missing or incorrect;
        6. the wrong currency is sent, the payment is underpaid/overpaid in a manner that cannot be operationally processed, or bank/intermediary fees create an unresolvable shortfall;
        7. a Banking Partner or payment provider rejects, blocks, delays, recalls, reverses, or otherwise intervenes in the payment flow;
        8. completing the transaction would cause WEEX or its Banking Partner to breach Applicable Law, regulatory guidance, sanctions restrictions, or internal policies;
        9. there is a Manifest Error, Supervening Event, market disruption, or system malfunction affecting pricing, conversion, crediting, or settlement;
        10. WEEX reasonably considers it necessary to protect itself, its users, its Banking Partners, or the integrity/security of the Platform.
      3. suspend or restrict your access to the Crypto Purchase Services (and/or the Platform more broadly, where permitted under the Terms of Use), including restricting your ability to create new Orders, limiting amounts, disabling specific payment methods, or applying enhanced due diligence requirements.
    4. WEEX may take such steps, or require you to take such steps, as WEEX reasonably considers necessary for the purpose of:
      1. protecting itself and/or its Banking Partners against risk of loss;
      2. maintaining the integrity, security, and proper operation of the Crypto Purchase Services;
      3. complying with Applicable Law, Relevant Authorities, and third-party provider requirements; and/or
      4. preventing or responding to fraud, misuse, or attempted circumvention of Trading Limits or controls.
    5. Such steps may include, without limitation, requesting additional documents (including proof of account ownership, bank statements, or source of funds), requiring updated KYC, imposing temporary holds, or requiring specific remedial actions (for example, correcting payment references for future transfers).
    6. If Crypto Purchase Services are terminated or discontinued (whether generally or for you), you acknowledge and agree that:
      1. pending Orders may be canceled and will not be completed;
      2. where WEEX has not received Fiat Receipt Confirmation (for bank transfers) or where a card payment is not successfully settled/confirmed, WEEX is not obliged to credit Digital Assets; and
      3. where WEEX has received funds but elects (or is required) not to complete the Crypto Purchase Transaction, WEEX may return funds in accordance with these Crypto Purchase Terms (including the Bank Transfer return provisions, where applicable), the Terms of Use, Banking Partner rules, and Applicable Law. Returns may be subject to processing times, bank/intermediary fees, return charges, and administrative deductions to the extent permitted.
    7. You agree that WEEX may exercise its rights under this Clause (4) without any liability to you for any loss suffered by you, to the maximum extent permitted by Applicable Law. Without limiting the foregoing, you agree that WEEX shall not be liable for any loss arising from:
      1. the removal, suspension, modification, or discontinuation of any Crypto Purchase Services or corridor;
      2. the cancellation, refusal, delay, or termination of any Order;
      3. any requirement to provide additional information or undergo additional checks;
      4. any action taken to comply with Applicable Law or third-party provider requirements; and/or
      5. any protective steps taken to manage risk or maintain platform integrity

This limitation does not apply to the extent liability cannot be excluded under Applicable Law.

    1. Termination of these Crypto Purchase Terms does not affect:
      1. any rights or obligations that accrued prior to termination (including rights relating to reversals, chargebacks, bank recalls, returns, fees, indemnities, repayment obligations, or negative balances); or
      2. any provisions which by their nature are intended to survive termination, including (without limitation) provisions relating to records, liability limitations, indemnities, repayment, and dispute resolution (as applicable under the Terms of Use and these Crypto Purchase Terms).
  1. Warranties and Representations
    1. Supplemental to, and without prejudice to, the warranties and representations set out in the Terms of Use and any other applicable terms, statements, rules, and policies issued by WEEX from time to time, you hereby represent, warrant, covenant, and undertake to WEEX that:
      1. You have read these Crypto Purchase Terms carefully, you understand their contents, and you agree to be legally bound by them (including any corridor-specific instructions displayed on the Platform);
      2. You have full legal capacity to enter into these Crypto Purchase Terms and to use the Crypto Purchase Services. If you access or use the Crypto Purchase Services in your personal capacity, you confirm that you are at least eighteen (18) years old (or the age of majority in your jurisdiction, if higher) and have full civil rights and capacity;
      3. If you access or use the Crypto Purchase Services on behalf of a legal entity, you represent and warrant that such entity is duly organised, validly existing, and in good standing under applicable law, and that you are duly authorised to act on its behalf and to bind it to these Crypto Purchase Terms. You further confirm that your use is within the entity’s corporate capacity and permitted activities;
      4. Your acceptance and performance of these Crypto Purchase Terms does not conflict with any applicable law, regulation, court order, contractual restriction, internal policy, or other obligation that applies to you;
      5. You act in your sole capacity (unless expressly agreed otherwise by WEEX in writing) and you make independent decisions when initiating Orders and entering into Crypto Purchase Transactions, without relying on any statement, communication, commentary, or explanation provided by WEEX or any third party;
      6. You acknowledge that Digital Assets and Crypto Purchase Transactions involve significant risks (including volatility, liquidity risk, pricing risk, execution risk, technology risk, and regulatory risk). You confirm that you have evaluated these risks and that you are prepared to bear them;
      7. You acknowledge and agree that WEEX does not provide investment, financial, legal, tax, or accounting advice in relation to Crypto Purchase Services. Any information made available on the Platform is general in nature and may not be appropriate for your circumstances;
      8. You confirm that you have sufficient knowledge, experience, and financial resources to use the Crypto Purchase Services, and that you will not initiate a Crypto Purchase Transaction that you cannot afford to complete or bear the associated losses for;
      9. You will use the Crypto Purchase Services only for lawful purposes and in compliance with all applicable laws, regulations, sanctions, rules, and requirements of Relevant Authorities that apply to you or your use of the Platform;
      10. You are not restricted, barred, or otherwise prohibited from accessing or using the Crypto Purchase Services under any applicable law or by any Relevant Authority. You understand that WEEX may restrict access by jurisdiction, user type, verification level, or other risk controls, and you agree to comply with any such restrictions;
      11. You acknowledge that you may be subject to reporting, tax, and other legal requirements in your jurisdiction. You agree that it is your responsibility to identify and comply with such obligations. WEEX does not provide compliance support to you except as required under applicable law;
      12. You shall not use the Crypto Purchase Services for any unlawful purpose, including (without limitation) illegal gambling, money laundering, terrorist financing, fraud, extortion, sanctions evasion, data breaches, market abuse, or any business activity prohibited by law;
      13. You shall not engage in, initiate, or promote any form of market manipulation, price manipulation, insider trading, market distortion, or other malicious or wrongful conduct affecting markets or WEEX’s pricing, conversion, or crediting mechanisms;
      14. You shall not attempt to circumvent WEEX’s limits, risk controls, compliance checks, or product flow (including by structuring or splitting payments to avoid thresholds or using third-party accounts);
      15. All funds (including Fiat Currency and/or Digital Assets) used in connection with Crypto Purchase Transactions are derived from lawful sources and are not proceeds of crime;
      16. You are the lawful owner of, and have full right and authority to transfer, any Digital Assets and/or Fiat Currency you use in connection with your WEEX Account and the Crypto Purchase Services, and such assets/funds are not subject to any lien, claim, charge, encumbrance, trust, adverse interest, or third-party rights that would prevent or restrict your use;
      17. Unless WEEX expressly agrees otherwise in writing, you are not acting as an agent, nominee, or intermediary for any third party in connection with Crypto Purchase Services;
      18. All information you provide to WEEX (including KYC information, identity details, payment information, and supporting documents) is true, accurate, complete, and not misleading, and you will promptly update WEEX if any such information changes;
      19. You agree to cooperate with WEEX’s compliance, fraud prevention, and risk controls, including by providing additional information or documents upon request (such as proof of bank account ownership, bank statements, source of funds/source of wealth information, or other verification materials), and you acknowledge that WEEX may delay, hold, refuse, or reverse transactions where such information is not provided or cannot be verified;
    2. Where you use CARD PURCHASES THROUGH THIRD-PARTY PAYMENT PROVIDERS:
      1. ALL DIGITAL ASSETS CARD PURCHASES ARE PROVIDED EXCLUSIVELY BY THIRD-PARTY PAYMENT PROVIDERS.
      2. The payment card is valid and you are authorised to use it (as cardholder or otherwise with lawful authority).
      3. You acknowledge that card payments are processed by third-party payment providers and may be subject to their terms, controls, and dispute/chargeback processes.
      4. You acknowledge that card payments may be reversed or charged back, and WEEX may take actions permitted under these Crypto Purchase Terms and the Terms of Use to address reversals (including reversing credited Digital Assets, creating negative balances, restricting accounts, or seeking recovery), to the extent permitted by applicable law and contract.
    3. Where you use CRYPTO PURCHASE BY BANK TRANSFER (INCLUDING SEPA WHERE AVAILABLE), you further represent, warrant, and undertake that:
      1. Any Fiat Currency you send will be sent only from a Verified Bank Account, held in your name and matching your WEEX verification details, unless WEEX expressly approves otherwise in writing.
      2. The payer name, account details, and other identifying information provided by your bank will match your verified identity details held by WEEX.
      3. You will include any required Reference Code / Unique Identifier accurately and exactly as instructed. You understand that missing or incorrect references may result in delays, holds, rejection, or return of funds, and may require additional verification.
      4. You will send funds only in the Fiat Currency specified in the Order and you understand that bank fees and intermediary charges may affect the net amount received. You remain responsible for such fees and any resulting underpayment/shortfall.
      5. You will not initiate or support bad-faith recalls, reversals, or disputes after Digital Assets have been credited. You acknowledge that transfers may in some cases be recalled or reversed by banks or intermediaries, and that WEEX may exercise remedies (including reversal of credited Digital Assets and recovery of negative balances) as permitted under these Crypto Purchase Terms and the Terms of Use.
      6. You authorise WEEX to share information relating to you and your transaction (including KYC/verification data and transaction identifiers) with Banking Partners and relevant service providers for processing, fraud prevention, sanctions screening, AML/CTF compliance, investigations, and recordkeeping, in accordance with Applicable Law and WEEX’s Privacy Policy.
      7. WEEX does not guarantee any specific processing time for Bank Transfers. You acknowledge that the 'Direct Crypto Credit Model' is contingent upon Fiat Receipt Confirmation from third-party Banking Partners. WEEX expressly disclaims all liability for any 'opportunity loss,' price slippage, or market fluctuation occurring between the time you initiate a transfer and the time WEEX receives cleared funds and executes the Order.
      8. In the event of an erroneous Bank Transfer, WEEX reserves the right to deduct an administrative processing fee, in addition to any third-party Bank Charges, from the total amount returned to you. WEEX shall have sole discretion in determining the currency and method of any Refund, and is not responsible for FX losses incurred during the return process.
    4. Without prejudice to any other rights or remedies, in the event of any misrepresentation, breach of warranty, or breach of these Crypto Purchase Terms by you, you undertake to fully indemnify and hold harmless WEEX (and its Related Personnel) from and against all losses, claims, demands, liabilities, costs, penalties, and expenses (including legal fees on a full indemnity basis) arising from or incidental to such breach, to the extent permitted by applicable law.
    5. These Crypto Purchase Terms are drafted in English. Translations may be made available for convenience only and may not be current or complete. In the event of any conflict between the English version and any translation, the English version shall prevail to the fullest extent permitted by Applicable Law.
    6. WEEX shall not be liable for the acts, omissions, or insolvency of any Banking Partner or Third-Party Payment Provider. This includes, without limitation, instances where your funds are frozen, seized, or delayed by a Banking Partner due to their own internal compliance, AML/CTF, or regulatory requirements, even if your Order was otherwise compliant with WEEX's internal policies.
  2. Disclaimers
    1. You acknowledge that you have been made aware that the Crypto Purchase Services (including purchases by payment card and bank transfer, such as SEPA where available) and any related transactions may involve material risks and may result in loss, delays, reversals, disputes, operational issues, and other adverse outcomes. To the fullest extent permitted by Applicable Law, and in the absence of WEEX’s bad faith or fraud, you agree that you assume full responsibility for, and all risks and liabilities arising from or incidental to, your use of the Crypto Purchase Services and any Crypto Purchase Transaction.
    2. You acknowledge and agree that:
      1. WEEX does not guarantee the availability, liquidity, depth, or marketability of any Digital Asset. Liquidity may be impacted by factors outside of WEEX’s control (including market conditions, third-party venues, banking partners, or service providers).
      2. WEEX does not guarantee that any instruction, request, or order will be accepted, processed, credited, or completed. WEEX may reject, hold, delay, cancel, or otherwise refuse to process a transaction where it considers it necessary for compliance, risk management, platform integrity, fraud prevention, operational reasons, or other legitimate purposes.
      3. Any quotes, indicative prices, estimated conversion amounts, timelines, or confirmations displayed on the Platform are provided for convenience and informational purposes and may not reflect the final executed outcome due to market movements, fees, processing constraints, or other factors.
    3. You acknowledge and agree that, subject to Applicable Law and acting in good faith, WEEX may exercise rights under these Crypto Purchase Terms and/or the Terms of Use to amend, vary, delay, suspend, cancel, reject, rectify, reverse, or unwind a Crypto Purchase Transaction, including where:
      1. a Manifest Error or pricing/crediting error has occurred;
      2. transaction details are incomplete, inconsistent, or misleading;
      3. required verification is not completed or cannot be validated;
      4. a bank transfer is not received as expected, is received net of fees, is received from a non-verified source, or is subject to recall, reversal, or dispute;
      5. a card payment is charged back, reversed, disputed, or otherwise invalidated;
      6. WEEX suspects fraud, market abuse, sanctions risk, AML/CTF concerns, or other prohibited conduct; or
      7. WEEX is required to act due to regulatory requests or legal obligations.
    4. You acknowledge that any such action may result in the removal or dissipation of Digital Assets in your WEEX Account, the creation of a negative balance, and/or restrictions on your account. Where permitted by Applicable Law and contract, WEEX may seek recovery of any amounts owed.
    5. You acknowledge and agree that:
      1. WEEX may impose trading limits, transaction limits, velocity limits, credit/risk limits, verification thresholds, or other controls that apply generally or specifically to you, to certain fiat rails, or to certain Digital Assets.
      2. If you fail to comply with these controls (or if WEEX determines, acting reasonably and in good faith, that compliance cannot be established), WEEX may take actions including delaying, holding, rejecting, cancelling, or reversing transactions, and such actions may cause losses or missed opportunities for you.
      3. WEEX may require additional verification steps (including enhanced due diligence) and may share necessary information with relevant service providers and partners for processing and compliance purposes, in accordance with Applicable Law and the Privacy Policy.
    6. You acknowledge and agree that:
      1. There may be delays or failures in the transmission or processing of requests, confirmations, and notices through the Platform or other Agreed Communication Means, including due to network congestion, system maintenance, third-party outages, email delivery failures, phone connectivity issues, or other events outside WEEX’s control.
      2. WEEX is not responsible for losses arising from delays or failures in communications or processing where WEEX has acted in good faith and in accordance with Applicable Law, including where such delay impacts your ability to complete a transaction at a desired time or price.
    7. Without limiting the generality of the foregoing, you acknowledge and agree that:
      1. Bank transfer processing (including SEPA) depends on Banking Partners and payment networks, and WEEX cannot control bank processing times, cut-off times, intermediary routes, bank holidays, compliance holds, or network failures.
      2. The fiat amount received may be reduced by bank/intermediary fees or FX spreads, and WEEX may credit Digital Assets based on the net amount actually received (or may reject/hold the transfer if the net amount cannot be reconciled).
      3. Missing/incorrect payment references, payer name mismatches, third-party payer transfers, or incompatible account details may lead to delays, holds, rejection, or return of funds, and may require additional verification.
      4. Where the product flow provides that WEEX credits Digital Assets upon receipt of confirmation from a Banking Partner (including via API), you acknowledge that such confirmation may be delayed, may not capture all disputes/recalls, and does not guarantee that the funds are final, irrevocable, or not subject to later reversal.
      5. Bank transfers may, in some circumstances, be recalled, reversed, frozen, or subject to dispute, investigation, or compliance holds by banks or Relevant Authorities. If Digital Assets have already been credited and a transfer is later reversed or disputed, WEEX may take actions permitted by these Crypto Purchase Terms and the Terms of Use to rectify the situation (including reversing the credited Digital Assets and recovering negative balances), to the extent permitted by Applicable Law.
      6. Where fiat withdrawals are not offered as part of the Crypto Purchase Services, you acknowledge that you may not be able to withdraw fiat from WEEX through these services, and your available options may be limited to Digital Asset withdrawals or other product-specific features (subject to eligibility and compliance checks).
    8. Where you purchase Digital Assets using a payment card processed by third-party payment providers:
      1. Card payments are processed by third parties and are subject to their underwriting, fraud controls, and settlement processes. WEEX does not control whether a card payment is accepted or declined.
      2. Card payments may be reversed or charged back, including long after a transaction has been credited. If this occurs, WEEX may take measures permitted by these Crypto Purchase Terms and the Terms of Use to address the reversal (including reversing credited Digital Assets, restricting accounts, or seeking recovery), subject to Applicable Law.
      3. Your use may be subject to additional third-party terms and conditions and you bear responsibility for compliance with them.
    9. You acknowledge and agree that third parties may be involved in the Crypto Purchase Services, including (without limitation) verification service providers, payment providers, banking partners, custodians, settlement agents, and liquidity providers. You may be subject to their terms and conditions. To the fullest extent permitted by Applicable Law and absent WEEX’s bad faith or fraud, WEEX shall not be liable for losses arising from or related to the involvement, acts, omissions, delays, failures, insolvency, or outages of such third parties.
    10. All data collected, processed, stored, or shared in connection with your use of the Crypto Purchase Services will be handled in accordance with the WEEX Privacy Policy made available on the Platform. This includes, without limitation, personal information, verification data, bank/payment details, transaction identifiers, and communications records. You acknowledge that WEEX may process and share such data with third parties as necessary to provide the services, to comply with Applicable Law, to prevent fraud, and to protect platform integrity.
    11. You acknowledge and agree that:
      1. WEEX may suspend or restrict access to your WEEX Account(s), the Platform, and/or any services (including Crypto Purchase Services) for scheduled maintenance, emergency maintenance, upgrades, security remediation, investigations, or other operational reasons. WEEX will use reasonable efforts to process transactions in a timely manner, but does not guarantee processing times.
      2. While WEEX endeavours to keep Platform information current, WEEX makes no representation or warranty (express or implied) that content—including service descriptions, processing times, fees, or any other information—is accurate, complete, or up to date at all times.
      3. You are responsible for obtaining and maintaining the necessary data network access, devices, and compatible hardware/software to use the Platform. WEEX does not guarantee compatibility with any specific device or configuration. Service interruptions and delays may occur due to the inherent limitations of the internet and electronic communications.
    12. To the fullest extent permitted by Applicable Law, WEEX provides the Crypto Purchase Services “as is” and “as available”, and disclaims all warranties of any kind (whether express, implied, or statutory), including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except to the extent such disclaimers are not permitted under Applicable Law. You acknowledge that you do not rely on any statement not expressly set out in these Crypto Purchase Terms or the Terms of Use.
    13. You acknowledge and agree that, to maintain compliance, platform integrity, and risk management, WEEX may, at its sole discretion (acting in good faith and consistent with Applicable Law), add, remove, modify, or suspend features, payment rails, supported currencies, processing flows, or other service parameters, and may amend these Crypto Purchase Terms and/or related policies from time to time. Such changes may affect your access and may be beneficial or adverse depending on your circumstances.
    14. WEEX may exercise its enforcement rights under this Clause 7 based on its reasonable suspicion of Improper Intent, without the obligation to provide detailed evidence or justification to the user where such disclosure could compromise WEEX’s risk management strategies. WEEX’s determination of what constitutes Improper Intent or market abuse shall be final and binding for the purposes of platform access.
    15. Any status update, notice of Rectification, or change to these Crypto Purchase Terms delivered via the Platform’s in-app notification system or online chat shall be deemed 'received' and effective immediately upon being sent by WEEX. It is your sole responsibility to monitor these Agreed Communication Means for updates regarding your Orders.
  3. Prohibited Conduct and Enforcement Measures
    1. You acknowledge and agree that WEEX strictly prohibits any form of unfair, abusive, dishonest, or otherwise improper conduct in connection with your use of the Crypto Purchase Services (including purchases by payment card and bank transfer, such as SEPA where available), your WEEX Account, and any related services on the Platform. WEEX may monitor, review, and assess relevant activity (including transaction patterns, funding sources, device/network signals, and compliance flags) to protect users, ensure platform integrity, and comply with Applicable Law.
    2. WEEX reserves the right to exercise control over your account, including placing holds, restricting features, rejecting or cancelling transactions, reversing credits (where permitted by Applicable Law), and suspending or terminating your account, if WEEX has reason to believe or suspect that you have engaged in conduct with dishonest or Improper Intent, or otherwise violated these Crypto Purchase Terms, the Terms of Use, or Applicable Law.
    3. Without limiting any other restrictions in these Crypto Purchase Terms or the Terms of Use, the following conduct is prohibited (whether attempted, completed, directly performed by you, or facilitated through your account):
      1. Market manipulation, price manipulation, wash trading, spoofing, layering, or any conduct intended to distort market prices, liquidity, or fair execution outcomes.
      2. Insider trading or misuse of material non-public information.
      3. Any scheme designed to influence the price at which WEEX (or its service providers) determines quotes, conversion rates, or crediting outcomes.
      4. Providing false, misleading, incomplete, or deceptive information in connection with onboarding, identity verification, source of funds checks, bank transfer instructions, card payment details, or any other requested information.
      5. Using forged documents, synthetic identities, or accounts opened under another person’s name or using another person’s credentials without proper authority.
      6. Misrepresenting the purpose of a transaction, the ultimate beneficial owner, or the nature of the funds.
      7. Initiating card payments with the intent to dispute, charge back, or reverse after receiving Digital Assets (“chargeback abuse”).
      8. Attempting to circumvent card issuer rules, merchant category restrictions, or third-party processor controls.
      9. Using stolen cards, compromised credentials, or unauthorized payment instruments.
      10. Initiating bank transfers (including SEPA) from accounts you do not control, or arranging third-party transfers to your WEEX account without required verification/authorization.
      11. Using incorrect or misleading payment references, structuring transfers to evade screening, or manipulating payer information to bypass controls.
      12. Attempting to exploit timing gaps between bank confirmation (including API confirmations) and final settlement/irrevocability of funds.
      13. Any activity that involves, facilitates, or is intended to conceal or disguise the origin, destination, ownership, or control of funds.
      14. Using the services to transact with sanctioned persons, jurisdictions, entities, or to evade export controls or sanctions regimes.
      15. Structuring transactions (e.g., splitting amounts, rapid cycling, layering) to avoid thresholds, monitoring, or reporting obligations.
      16. Exploiting bugs, vulnerabilities, latency, mismatches, or system errors (including price display errors, crediting errors, or “Manifest Errors”) to obtain an unfair advantage.
      17. Attempting to interfere with system operations (including by scripts, bots, or automated interactions not authorized by WEEX), or to overload the Platform.
      18. Reverse engineering, tampering with security controls, bypassing geofencing or eligibility restrictions, or attempting to access restricted functionality.
      19. Causing harm to other users or to WEEX through harassment, threats, extortion, doxxing, or misuse of customer support channels.
      20. Coordinating abusive conduct with others (including through social media or third-party platforms) to disrupt Platform operations or manipulate outcomes.
      21. Engaging in activities that violate Applicable Law, regulatory requirements, or relevant third-party terms (including those imposed by banking partners, payment processors, verification service providers, or other infrastructure providers).
      22. Using the services for prohibited businesses or illegal activity, including illegal gambling, fraud, extortion, data breaches, terrorist financing, violent activities, or any other activities prohibited by law.
    4. For the avoidance of doubt, the following examples may constitute Improper Intent for the purposes of this Clause 7, whether conducted on the Platform or in coordination with off-platform activity:
      1. Engaging in coordinated or unilateral activity designed to artificially inflate or depress the price of a Digital Asset (including via spot/derivatives venues, social coordination, or trade timing) in order to influence the pricing, crediting rate, or execution environment relevant to a Crypto Purchase Transaction.
      2. Executing or arranging trades in other Platform markets (Spot/Futures/Options where applicable) or on external venues within a proximate timeframe to manipulate market conditions or pricing inputs that affect the quote, conversion, or amount credited in connection with a Crypto Purchase Transaction.
      3. Causing or attempting to cause material market impact immediately before, during, or after submitting a purchase request or transfer intended to trigger crediting, where such action is intended to manipulate the resulting credit amount, pricing, or related settlement mechanics.
      4. Exploiting pricing discrepancies between the Platform and external venues through strategies deliberately designed to undermine fair pricing, distort WEEX’s pricing logic, or create systemic inefficiencies, including attempts to repeatedly “clip” quotes or exploit stale/lagging reference inputs.
      5. Submitting purchase requests, bank transfer instructions, payment references, or other details that are materially false, misleading, or structured in a manner expected to deceive WEEX systems, algorithms, compliance controls, or personnel.
      6. Coordinating trading activity on external exchanges with Crypto Purchase activity on the Platform in a manner that disrupts fair market operations, including manipulating platform-visible prices to gain undue advantage in external markets (or vice versa).
      7. Using non-public information obtained through negotiations, pending crediting events, support communications, banking confirmations, or transaction workflows to engage in trading or other conduct aimed at profiting ahead of completion/settlement.
      8. Executing activity between accounts under common ownership, control, or affiliation, or otherwise creating artificial patterns (including repeated transfers or trades) intended to simulate legitimate activity, distort metrics, or manipulate risk controls.
      9. Engaging in conduct reasonably likely to create or exploit reversals (chargebacks, disputes, recalls, compliance holds) after receiving Digital Assets, including “fast in, fast out” patterns designed to cash out before a reversal is detected.
    5. To mitigate adverse impacts and protect market and platform integrity, WEEX may, in its sole discretion (acting in good faith and consistent with Applicable Law):
      1. Request information: require additional data, documents, or explanations (including source-of-funds/source-of-wealth details, bank statements, proof of account ownership, transaction purpose, or beneficiary information).
      2. Delay processing: place a temporary hold on a purchase, deposit, credit, or withdrawal pending verification or investigation.
      3. Restrict functionality: limit trading, deposits, purchases, withdrawals, or other features; impose velocity limits; or restrict certain payment rails.
      4. Cancel or reject: refuse to process a request, cancel pending transactions, or reject bank transfers where reconciliation/verification fails.
      5. Reverse or rectify: where permitted by Applicable Law and contract, reverse credits, unwind transactions, or correct outcomes impacted by fraud, Improper Intent, errors, or regulatory requirements.
      6. Suspend or terminate: suspend your account or terminate your access to services for serious or repeated violations, or where required for compliance.
      7. Report and cooperate: cooperate with Relevant Authorities, banks, payment providers, and other third parties, including providing information where required by Applicable Law or to protect WEEX and users.
    6. You understand and agree that:
      1. To the fullest extent permitted by Applicable Law, WEEX shall not be liable for any losses (including direct or indirect losses, actual losses, loss of opportunity, or loss of potential profits) you may incur as a result of measures taken under this Clause 7, provided WEEX acts in good faith and in accordance with Applicable Law and these Crypto Purchase Terms.
      2. Where your conduct results in any shortfall, reversal, chargeback, recall, negative balance, or other amount owed to WEEX, you acknowledge that WEEX may seek recovery of such amounts and may exercise any rights of set-off, deduction, reversal, or other remedies available under these Crypto Purchase Terms, the Terms of Use, and Applicable Law.+
      3. WEEX’s enforcement actions may be influenced by third-party constraints (banking partners, payment processors, compliance vendors). WEEX may apply additional restrictions where reasonably necessary to align with those constraints.
    7. Any failure or delay by WEEX to enforce this Clause 7 does not constitute a waiver. WEEX’s rights and remedies under this Clause 7 are cumulative and in addition to any other rights or remedies available under these Crypto Purchase Terms, the Terms of Use, or Applicable Law.
    8. You shall indemnify WEEX for any fines, penalties, or operational costs imposed on WEEX by Banking Partners or Relevant Authorities that arise from your failure to provide accurate Reference Codes, use of Non-Verified Bank Accounts, or initiation of bad-faith disputes.
    9. WEEX may, without prior notice, set off any liability or shortfall owed by you under these Crypto Purchase Terms against any balances or assets held in any of your WEEX Accounts, including accounts associated with different service modules or sub-accounts.
  4. Indemnification
    1. This Clause 9 applies in addition to (and without limiting) any indemnity, limitation of liability, risk allocation, or user responsibility provisions contained in the WEEX Terms of Use and any other applicable policies or product terms. If there is any inconsistency, WEEX may apply the provision that best reflects (i) the intended allocation of risk for the relevant service, and (ii) compliance with Applicable Law.
    2. You shall take all reasonable measures to protect WEEX, its affiliates, service providers, directors, officers, employees, agents, contractors, licensors, and banking/payment partners (together, the “WEEX Indemnified Parties”) from any loss, damage, liability, cost, or expense arising from or connected with:
      1. your access to or use of the Crypto Purchase Services (including purchases by payment card and bank transfer, including SEPA where available);
      2. your WEEX Account activity (including instructions, communications, and authorisations);
      3. any breach by you of these Crypto Purchase Terms, the Terms of Use, or any other applicable WEEX rules;
      4. any failure by you to comply with Applicable Law (including AML/CTF requirements, sanctions restrictions, tax or reporting obligations); and/or
      5. any misuse of the Platform, including any attempt to exploit errors, timing gaps, reversals, or compliance processes.
    3. Should you fail to take such reasonable measures (including where your acts or omissions create foreseeable risk to WEEX or third parties), you shall be liable to WEEX for the resulting Losses to the
    4. You hereby agree to defend, indemnify, and hold harmless the WEEX Indemnified Parties from and against any and all demands, claims, actions, proceedings, investigations, liabilities, losses, damages, costs, and expenses (including legal fees on a full indemnity basis, and any fines, fees, penalties, or charges imposed by a regulator or other Relevant Authority) that are asserted against, incurred by, or suffered by any WEEX Indemnified Party arising out of or in connection with:
      1. Your breach (or alleged breach) of these Crypto Purchase Terms, the Terms of Use, any Regional Terms, or any policies incorporated by reference.
      2. Your improper use of the Crypto Purchase Services, including any conduct described as prohibited (including fraud, market abuse, payment reversal abuse, misrepresentation, circumvention of controls, exploitation of errors, or activity connected to money laundering, terrorist financing, sanctions evasion, or other illegal activity).
      3. Your violation (or alleged violation) of Applicable Law, regulatory guidance, sanctions regimes, court orders, or the rights of any third party (including intellectual property rights, privacy rights, consumer protection rights, or contractual rights).
      4. Any chargeback, card dispute, payment reversal, recall, rejection, clawback, compliance hold, or similar action initiated by (i) you, (ii) your bank, (iii) your payment provider, (iv) a payment processor, (v) a banking partner, or (vi) any third-party service provider involved in the transaction, to the extent such action arises from your conduct, instructions, or breach of these Crypto Purchase Terms.
      5. Any inaccuracies, omissions, or misstatements in information you provide (including identity details, payer information, bank account ownership, payment reference fields, source of funds, or transaction purpose), or any use of a payment account you do not own or control.
      6. Any acts or omissions of any person to whom you grant permission to use your WEEX Account, device, credentials, or access your communications with WEEX (whether authorised by WEEX or not), including where such person uses your account to access the Platform, submit instructions, or use the Crypto Purchase Services on your behalf.
      7. Any security incident or loss arising from your failure to safeguard your login credentials, devices, API keys (if any), two-factor authentication mechanisms, or account recovery information, to the extent the incident arises from your negligence, breach, or misuse.
    5. For purposes of this Clause 8, “Losses” include (without limitation):
      1. attorneys’ fees and disbursements;
      2. costs of investigation, compliance review, forensic analysis, remediation, and responding to requests from Relevant Authorities;
      3. amounts paid in settlement, judgment, damages, or compensation;
      4. administrative fees, chargeback fees, penalty fees, scheme fees, bank charges, and costs imposed by third parties;
      5. losses arising from reversal of credited assets, market movements during investigations/holds, hedging or close-out costs where applicable; and
      6. reputational harm and operational disruption costs to the extent recoverable under Applicable Law.
    6. WEEX will use reasonable efforts to notify you of any third-party claim for which it seeks indemnification under this Clause 8 (unless prohibited by law, regulatory restriction, or where urgency requires immediate action).
    7. WEEX may, at its option, assume and control the defence and settlement of any claim. You agree to cooperate fully (including providing timely information and documents) at your own cost where reasonably requested.
    8. You may not settle any claim or admit liability on behalf of any WEEX Indemnified Party without WEEX’s prior written consent. WEEX may withhold consent where settlement would impose non-monetary obligations, restrictions, admissions, or reputational impact on WEEX.
    9. To the fullest extent permitted by Applicable Law, WEEX may recover amounts owed under this Clause 8 by any lawful means, including:
      1. set-off against balances, credits, or assets in your WEEX Account;
      2. reversal of credits where permitted under these Crypto Purchase Terms;
      3. suspension of services pending payment or resolution; and/or
      4. pursuing collection or legal remedies where appropriate.
    10. Your obligations under this Clause 8 survive the termination of these Crypto Purchase Terms, the closure of your WEEX Account, and the completion or cancellation of any Crypto Purchase Transaction, to the extent necessary to give effect to the indemnity and recovery provisions.
    11. Nothing in this Clause 8 is intended to exclude or limit any liability that cannot be excluded or limited under Applicable Law. Where Applicable Law grants you mandatory rights or protections, this Clause 8 shall apply only to the extent permitted by such law.
